The contest was over who would reform, not what reform meant

What is peculiar about this confrontation is that the point at issue was not the content of governance reform but who would carry it out. The very same measure — handing the chair of the board to an outside director — was voted down by the founding family when the company proposed it, and dismissed by the company as “already implemented” when the shareholder proposed it. All three parties spoke of reform, and none could agree on whose hands would do it. It can be seen as a process in which the real task, restoring the trust the beni-koji affair had damaged, was displaced into an institutional argument about the choice of board structure.

The move to a company with an audit and supervisory committee closed the argument about the vessel, but the substance of oversight is left to how it is operated from here. So long as the shareholder register holds a leading investor with 13.74% of the voting rights and a founding family with about 30%, management will struggle for stability while lacking the confidence of either. How far President Toyoda’s administration, which speaks of dialogue, can turn both sides’ demands into real discipline remains to be seen. As a case for measuring how the governance of a founder-family company balances against outside eyes, it is still in progress.
