A business and capital alliance with Bridgestone, and a lopsided cross-shareholding (2008)
What was handed over, and what remained
What Toyo Rubber Industry handed over in this alliance was 8.72% of itself in new shares, and A.T.O.M., its own innovative production method. For a mid-sized maker a proprietary production process is one of very few bargaining chips, and opening it to the world leader looks like the price of standing on the same ground as a rival it could never match on scale. In return it received joint procurement and logistics, and contract manufacturing that filled in each side’s blank spaces in North and Latin America. Not an acquisition, not an integration, but a sharing-out of only the functions each needed — among the moves available in 2008, a realistic way to dilute the disadvantage of size while remaining independent.
Yet what survived eleven years was the contract, not the capital. The cross-shareholding was halved twice from 2019, and the position of largest shareholder passed to Mitsubishi Corporation. The business alliance agreement dated 16 May 2008, meanwhile, still appears among the material contracts in the securities report for the year ended December 2025. The shares placed as surety for a relationship of trust came off first, and only the substance they were meant to secure has continued. Binding by equity and binding by work did not hold for the same length of time.
