"商工省は1943年1月9日、大阪の綿業会館で官民懇談会を開き、紡績14ブロックの代表と第3次の企業整備を打ち合わせて最終の整理案を決めた。案は1社の企業単位を100万錘とする合同を進め、5割の操業工場をさらに3割へ圧縮し、残る2割を閉鎖工場へ繰り入れてその設備を軍需に転用するというものであった。これを受けた綿スフ統制会は3月18日、100万錘未満の会社は相互の任意交渉により買収または合併の形式で経営を集約すること、弱体会社どうしの合併は避けることを申し合わせた。統合の折衝は外からの強制でもあり、難航を重ねた。福島紡績共同組合は設備規模が100万錘に満たず、同じくこの規模に達しない朝日紡績との間で、野村信託の中島俊郎常務の斡旋により合併交渉が進められた。すでに企業整備で設備の供出を余儀なくされていた福島紡績にとって、合併は経済単位を保つための手段でもあった。\n\n合併の条件は1943年7月22日に合意へ達し、契約書が調印された。福島紡績が資本金1,286万8,750円を増額して新資本金3,174万3,750円で存続し、朝日紡績は解散する一方、存続する側の福島紡績が社名を捨て、合併と同時に敷島紡績株式会社へ改めるという形をとった。合併比率は朝日紡績株式10株に対し福島紡績株式14株とし、朝日紡績の従業員は全員を引き継いで採用すると定めた。契約書は8月14日に両社の臨時株主総会で承認され、合併は12月1日に実行、翌1944年3月1日に登記を完了した。本社は福島紡績の建物を引き払って大阪市東区備後町の朝日紡績本社ビルへ移り、5部17課と3部23課であった両社の本社組織は8部35課となった。\n\n新会社が抱えた設備は、自家工場21と関係会社8社を合わせて紡績設備116万5,636錘、織機3,440台であった。この企業再編成で14ブロックは10社に統合され、10社の紡機合計1,216万3,400錘のうち敷島紡績は116万5,636錘を占めた。しかし積み上げた錘が綿糸を紡ぐことはなかった。軍当局の要請により1工場は航空機会社へ転換し、4工場は軍需会社へ譲渡、3工場は軍および軍需会社へ貸与または譲渡され、1工場は空襲で焼失した。設備はスクラップとして供出され、海外へ移駐したものもあった。終戦時の可動設備は紡機約37万錘、織機約1,400台にとどまった。合併で積み上げた錘数は、綿糸を紡ぐ能力としてではなく、供出しうる金属の量として数え直されていた。", "1946年2月28日に発せられた公職追放令と、翌年1月4日に公布された改正勅令により、戦時中に資本金1億円以上の会社で会長・社長・専務・常務・常任監査役の地位にあった者が財界の追放該当者に指定された。1947年3月6日、山内貢社長が退任し、室賀國威専務取締役が第7代社長に就任した。室賀は姫路市の出身で、1919年に神戸高商を卒業して久原商事へ入ったが、翌年の暴落で同社が業務を縮小したため職を失い、1921年1月に福島紡績へ入社した人物である。1943年の合併時には常務取締役として総務部長と経理部長を兼ねていた。追放令は1950年10月に指定の解除が行なわれ、山内は1952年6月に相談役として経営陣へ復帰した。\n\n室賀社長が引き受けたのは、復元のための借入が膨らみきった財務であった。設備復元に要した借入金は第1次から第3次までと追加を合わせて約2億1,500万円に達し、1948年5月31日現在で自己資本4,759万円に対し他人資本は6億6,865万円と14倍に開いていた。同年8月、資本金3,174万3,750円を1億2,000万円へ増資し、未払込株32万株から未払込金15円を徴収したうえで株主に1対2で新株を割り当て、80万株を100円で一般公募した。翌1949年5月には4億円へ増資し、120万株を70円で公募した。2回のプレミアムつき公募で資本準備金は1億1,000万円となり、他人資本は自己資本の4倍にとどまった。同じ1949年5月に東京・大阪・名古屋の3取引所へ上場し、第111期には年1割5分の配当を復活させ、翌期には年2割へ増配した。\n\n朝鮮戦争のブームが去ると、世界の綿業では競争が激化した。1952年2月25日、通商産業省は綿紡各社に対し、当面3月から5月までの適正稼働率は現有確認設備能力の6割程度が妥当だと勧告し、3月5日には実施要領を指示した。政府の勧告による操短は紡績史上はじめてであった。戦前は大日本紡績聯合会の決議で自主的に操短できたが、戦後は独占禁止法と事業者団体法がそれを許さず、行政指導による生産調整という形をとるほかなかった。第1次勧告操短は月産15万梱前後に抑えながら1953年5月末まで続き、紡績各社はたちまち労働力過剰に陥った。敷島紡績は1952年4月に労働組合の了解を得て希望退職を募り、男子51人・女子1,342人の計1,393人が退職した。翌1953年6月の第2次募集にも1,424人の申し込みがあった。", "合成繊維への進出を意図していた敷島紡績は、1951年5月に日本合成繊維の株式を取得し、小林勇常務を社長として送り込んだ。日本合成繊維はもともと羊毛の配給統制会社で、1949年にその業務を終えたため、工業化が始まっていた合成繊維ビニロンの製造販売へ乗り出していた会社であった。1953年6月、同社が資本金2億円へ増資した際に株式の51%を取得し、傘下へ入れた。ところが捲縮ビニロンの市場性は乏しく、ビニロン糸の採算も極端に悪かったため、ビニロン部門の操業を中止して梳毛式設備へ置き換え、スフと毛の梳毛糸・混紡糸へ重点を移した。敷島紡績は融資を重ね、城北研究所の合繊紡績の技術と設備を提供した。同社はその後、毛部門の生産と販売で実績を積み、敷島紡績が毛製品へ進出する母体となった。\n\n繊維工業設備臨時措置法で設備を制限された紡績各社に、限られた枠の中で伸びる道は多くなかった。機械設備を改善・更新して生産性を高めること、生産体制を合理化して工場を集中し紡出番手を整理して規模の利益を追うこと、付加価値の高い高級品と二次製品へ縦に伸びることである。敷島紡績は1953年2月25日、八幡・草津・細河の3工場を切り離して敷島帆布と敷島カタン糸を設立した。3工場は規模が小さく、帆布やカタン糸という特殊な製品が量産本位の大企業生産に適さなかったためである。労働組合は、新会社での労働条件の保証がないこと、組合組織の分断を策すものであることを理由に反対した。1954年4月には相馬平治取締役工務部長が渡米してアメリカ繊維機械フェアと米国の新鋭紡織機械を調査し、1955年3月には立地条件の悪い戸畑工場を閉鎖して設備を他工場へ分散移設した。\n\n1959年7月3日、日豪通商協定を機に豪州でヤラゴン紡績が設立され、資本金24万豪州ドルの半分を敷島紡績と野村貿易が折半した。関税障壁のため日本から輸出できない太番手綿糸を現地で紡ぐための会社であった。1961年1月には、工業化政策により日本製繊維品の輸出が困難になる恐れのあったケニアへ、ユナイテッド・テキスタイル・インダストリーズを設立した。1964年9月1日にタイで設立したタイ・ブランケット・インダストリーは、紡機5万2,000錘を備える同国最大の紡績工場となった。翌1965年8月、タイ政府は46番手以下の綿糸の輸入制限措置を発令した。1967年の敷島紡績は九大紡のうち最も規模が小さく、精紡機43万8,430錘に対し織機は1,292台であった。国内で錘を増やせない会社にとって、設備の置き場は輸出先の内側にしかなかった。",
